Please read these Terms of Service carefully before using Bravo Health's platform and services. These terms govern your access to and use of our products and constitute a legally binding agreement between you and Bravo Health.
1. Acceptance of Terms
By accessing or using Bravo Health's platform and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.
2. Description of Services
Bravo Health provides enterprise healthcare software solutions, including the Healthwyse platform and Telewyse telemedicine service. Our services are designed for healthcare organisations and their authorised personnel.
We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice to affected users.
3. User Accounts
To access certain features of our platform, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify us immediately of any unauthorised use of your account. We cannot and will not be liable for any loss or damage arising from your failure to comply with this obligation.
4. Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to use our services to transmit any unlawful, harmful, or objectionable content; to impersonate any person or entity; to interfere with or disrupt the integrity or performance of our services; or to attempt to gain unauthorised access to any part of our platform.
5. Intellectual Property
All content, features, and functionality of our platform — including but not limited to text, graphics, logos, software, and data — are owned by Bravo Health and are protected by applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable licence to access and use our services for your organisation's internal business purposes. This licence does not include the right to resell, sublicense, or commercially exploit our services.
6. Data and Privacy
Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of information as described in our Privacy Policy.
For healthcare data processed through our platform, we comply with applicable regulations including HIPAA, GDPR, and NDPR where applicable.
7. Service Level and Availability
We strive to maintain 99.99% platform uptime as described in your service agreement. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by circumstances beyond our reasonable control, including force majeure events, third-party service failures, or internet infrastructure issues.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Bravo Health shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of our services.
Our total liability to you for any claims arising under these Terms shall not exceed the amount paid by you to Bravo Health in the twelve months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless Bravo Health and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of our services, your violation of these Terms, or your violation of any rights of a third party.
10. Termination
We may terminate or suspend your access to our services immediately, without prior notice, if you breach these Terms or if we determine that continued access poses a risk to our platform or other users.
Upon termination, your right to use our services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
11. Governing Law
These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in the applicable jurisdiction.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the date at the top of this page and, where appropriate, notifying you by email. Your continued use of our services after such changes constitutes your acceptance of the new Terms.
